Terms & Conditions
These terms apply to all work commissioned from VISUALDJ, Vienna, Austria, whether as a one-off project or as a subscription.
1. Scope
Each project or subscription is defined in a written quote or proposal. Work outside that scope is quoted separately.
2. Prices and payment
Prices are quoted in euros, net of VAT where applicable. For one-off projects, 50% is due to start work and 50% before final files are delivered, unless agreed otherwise in writing. Subscriptions are billed monthly in advance; the minimum term and notice period are stated in the quote. Campaign work is quoted individually.
3. Previews and delivery
Work in progress is shared as a preview link hosted by VISUALDJ, not as files. Final files are delivered only after full payment. Sites on a subscription are hosted and maintained by VISUALDJ for the term of the subscription.
4. Timeline
Timelines depend on timely feedback and material from the client. Delays on the client's side move the delivery date accordingly.
5. Revisions
Each quote states the number of included revision rounds. Further rounds are billed at the rate in the quote.
6. Rights of use
VISUALDJ grants rights of use; the copyright itself stays with VISUALDJ, as Austrian copyright law provides. On full payment the client receives an exclusive right to use the film, stills and copy made for them, unlimited in time and territory, for their own brand communication. For the website, the client receives a non-exclusive, non-transferable right to use the code for the one site it was made for. The techniques, effects, templates and code libraries behind it remain VISUALDJ's and may be used again in other work; the client may not reuse them for other sites, pass them on or resell them.
7. Subscriptions
Under a subscription, the right to use the site lasts for as long as the subscription is active and paid. When it ends, the right of use ends and the site is taken offline, unless the client buys out the site as set out below.
8. Buyout
The client can buy an unrestricted right to use, change and host the site's code for a surcharge stated in the quote. After a buyout, VISUALDJ hands over the source files.
9. Portfolio and credit
VISUALDJ may show the work in its own portfolio and keep a small "by VISUALDJ" credit on the site, unless agreed otherwise in writing. Third-party assets and generative tools remain subject to their own licences.
10. AI-generated content
Deliverables may contain material made with generative AI, as described in the AI declaration. When the client publishes them, the client is responsible for any labelling the law or the platform requires; VISUALDJ adds a suggested labelling note to each delivery.
11. Liability
VISUALDJ is liable for intent and gross negligence. Liability for slight negligence is excluded to the extent permitted by law. Liability is capped at the fee of the project concerned, or at twelve months of fees for a subscription.
12. Cancellation
If a project is cancelled by the client, work completed to date is billed pro rata; the first instalment is non-refundable. Subscriptions can be cancelled at the end of the minimum term with the notice period stated in the quote.
13. Law and venue
Austrian law applies. The competent court is in Vienna, Austria.
